Company approval does not relieve Ambassador of responsibility for truthful statements, required disclosures, intellectual property rights, or legal compliance.

7. NAME, IMAGE, LIKENESS, VOICE, AND PUBLICITY RELEASE
To the maximum extent permitted by applicable law, Ambassador expressly grants Shelf Select, LLC, its affiliates, successors, assigns, licensees, distributors, marketing partners, agencies, and authorized representatives a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free, fully paid license and consent to use Ambassador's:

Company may use these materials for advertising, publicity, promotion, and other lawful commercial purposes it determines appropriate, without additional approval, notice, or compensation, except as expressly agreed in a separate written contract or required by law.
This permission includes paid advertising, boosting, and reposting of authorized content. It does not authorize Company to access Ambassador's accounts or operate advertisements through those accounts without any separate permissions required by the relevant platform.
Ambassador waives, to the extent legally permitted, rights to inspect or approve the final use of authorized materials and releases Company from claims arising from authorized uses, including claims based on publicity, privacy, or alteration, except for unlawful conduct or rights that cannot legally be waived.
Company shall not knowingly fabricate an endorsement, attribute statements to Ambassador that Ambassador did not make, or materially misrepresent Ambassador's genuine opinions or experiences.
Company shall not create a deceptive synthetic endorsement or materially altered voice or likeness implying statements Ambassador never made without separately obtaining legally sufficient consent.
This license survives termination, subject to applicable nonwaivable rights and laws.
8. CONTENT OWNERSHIP AND INTELLECTUAL PROPERTY
Ambassador retains ownership of original content unless ownership is separately transferred through a signed written agreement.
Ambassador grants Company a worldwide, perpetual, irrevocable, nonexclusive, transferable, sublicensable, royalty-free, fully paid license to reproduce, distribute, display, perform, modify, adapt, translate, create derivative works from, advertise with, and commercially exploit Program-related content that Ambassador submits, delivers, tags for Company use, or expressly authorizes for Company use.
Ambassador represents that they possess the rights necessary to grant this license and that authorized Company use will not infringe third-party rights.
Ambassador shall obtain necessary permissions from photographers, videographers, collaborators, and other rights holders.
Ambassador shall not submit copyrighted music, third-party images, trademarks, or other materials for commercial reuse unless appropriately licensed for Company's intended uses.
To the extent permitted by law, Ambassador waives or agrees not to assert moral rights that would interfere with authorized uses.

Ambassador shall not imply that they are an employee, owner, official spokesperson, medical professional, or authorized representative of Company.
All permitted trademark use shall cease upon termination unless otherwise authorized.
10. INDEPENDENT CONTRACTOR STATUS
Ambassador is an independent participant and, when performing authorized promotional services, acts as an independent contractor to the extent consistent with applicable law.
Nothing in this Agreement is intended to establish employment, partnership, joint venture, franchise, fiduciary relationship, or agency.
Ambassador has no authority to bind Company or incur obligations on its behalf.
Ambassador is responsible for applicable taxes and reporting obligations arising from compensation actually received, subject to applicable law.
The parties acknowledge that legal classification depends on the actual relationship and cannot be determined solely by this contractual designation.
11. CONFIDENTIALITY
Ambassador shall protect all nonpublic business information received from Company, including marketing strategies, product launches, pricing plans, customer information, financial information, internal communications, affiliate arrangements, and other confidential materials.
Ambassador shall not disclose or use such information except as authorized for legitimate Program purposes.
These obligations do not apply to information lawfully public, independently developed, or lawfully received without confidentiality restrictions.
Nothing in this Agreement prohibits legally protected disclosures, truthful communications with regulators, reporting unlawful conduct, or other activity protected by law.
Confidentiality obligations survive termination for as long as the information remains legally protectable.
12. PRIVACY AND PERSONAL INFORMATION
Ambassador authorizes Company to collect, use, and process information reasonably necessary to administer the Program, verify eligibility, communicate, evaluate applications, prevent fraud, manage payments when applicable, and exercise rights granted under this Agreement.
Personal information shall be handled in accordance with applicable law and Company's applicable Privacy Policy.
Consent to optional marketing communications, where legally required, shall be obtained separately.
This Agreement does not waive applicable privacy rights.
13. PROFESSIONAL CONDUCT AND REPUTATIONAL PROTECTION
Ambassador shall conduct Program activities lawfully, professionally, and in a manner consistent with Company's brand guidelines.
Company may suspend or terminate participation if Ambassador engages in fraud, harassment, threats, discriminatory misconduct, unlawful conduct, deceptive marketing, infringement, or conduct that Company reasonably determines creates material legal, reputational, or commercial risk.
Nothing in this Agreement prohibits truthful statements, lawful reviews, protected complaints, legally protected speech, or communications with government authorities.
14. INDEMNIFICATION
To the fullest extent permitted by applicable law, Ambassador agrees to defend, indemnify, and hold harmless Shelf Select, LLC and its members, managers, officers, employees, affiliates, agents, successors, and assigns against third-party claims, demands, actions, liabilities, damages, penalties, judgments, settlements, and reasonable attorneys' fees arising from or relating to:

Company shall provide reasonable notice of an indemnified claim and shall retain reasonable control over its defense and settlement. Ambassador shall reasonably cooperate.
15. ASSUMPTION OF RISK AND PRODUCT SAFETY
Participation is voluntary.
Ambassador acknowledges that dietary supplements may not be appropriate for every individual and that product use should follow applicable labeling and professional medical advice when appropriate.
Ambassador is not required to ingest, test, or personally use any product as a condition of applying to the Program.
No provision of this Agreement waives claims for defective products, personal injury, or other liability to the extent such waiver is prohibited by law.
16. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROGRAM, DISCRETIONARY OPPORTUNITIES, AND RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT GUARANTEES OF PARTICIPATION, EARNINGS, BUSINESS SUCCESS, PUBLICITY, OR CONTINUED ACCESS.
COMPANY DISCLAIMS IMPLIED WARRANTIES TO THE EXTENT SUCH DISCLAIMERS ARE LEGALLY PERMITTED.
NOTHING IN THIS SECTION DISCLAIMS NONWAIVABLE PRODUCT WARRANTIES OR STATUTORY RIGHTS.
17. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM PROGRAM PARTICIPATION, INCLUDING LOST PROFITS, LOST OPPORTUNITIES, LOST FOLLOWERS, OR REPUTATIONAL LOSSES.
FOR CLAIMS ARISING SOLELY FROM DISCRETIONARY PROGRAM ADMINISTRATION, COMPANY'S AGGREGATE CONTRACTUAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT OF COMPENSATION ACTUALLY PAID TO AMBASSADOR UNDER THIS AGREEMENT DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THIS LIMITATION DOES NOT APPLY TO UNPAID AMOUNTS EXPRESSLY OWED UNDER A SEPARATE ENFORCEABLE AGREEMENT, FRAUD, WILLFUL MISCONDUCT, OR LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
18. TERMINATION AND SUSPENSION
Company may reject applications, suspend access, revoke Program privileges, or terminate participation at any time, with or without cause or advance notice, subject to applicable law and any separate enforceable written obligations.
Ambassador may discontinue participation by notifying Company.
Termination does not extinguish accrued payment obligations, existing claims, or rights and obligations expressly intended to survive.
Provisions concerning content licensing, publicity consent, confidentiality, indemnification, dispute resolution, limitations of liability, and other provisions intended by their nature to survive shall survive termination to the extent enforceable.
19. MANDATORY BINDING INDIVIDUAL ARBITRATION
PLEASE READ THIS SECTION CAREFULLY. IT SUBSTANTIALLY AFFECTS YOUR LEGAL RIGHTS.
Except for claims that applicable law prohibits from being subjected to predispute arbitration, the parties agree that any dispute, controversy, or claim arising out of or relating to this Agreement, the application process, Program participation, termination, compensation, content use, or the parties' relationship shall be resolved exclusively through final and binding individual arbitration.
Arbitration shall be governed by the Federal Arbitration Act to the extent applicable.
Location: Broward County, Florida.
Administrator: American Arbitration Association ("AAA"), under its applicable rules, including consumer or employment rules where legally required by the nature of the dispute.
If AAA is unavailable, the parties shall attempt to agree upon a neutral administrator, or a court of competent jurisdiction may appoint an arbitrator as permitted by law.
Arbitration shall be conducted by one neutral arbitrator.
The arbitrator may award any individual relief available under applicable law.
Arbitration fees and costs shall be allocated in accordance with applicable law and the administrator's governing rules. Company shall pay additional amounts where legally required to preserve enforceability.
Hearings may occur remotely where required by applicable rules, law, or the arbitrator's determination, notwithstanding the designated Broward County location.
The parties may seek temporary or preliminary relief from a court of competent jurisdiction where permitted without waiving arbitration.
Either party may pursue eligible claims in small claims court on an individual basis.
Any question concerning the enforceability of the class-action waiver shall be determined by a court of competent jurisdiction.
Judgment upon an arbitration award may be entered in any court having jurisdiction.
20. WAIVER OF CLASS, COLLECTIVE, AND REPRESENTATIVE PROCEEDINGS
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND COMPANY AGREE THAT CLAIMS SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.
Neither party may pursue claims as a plaintiff, claimant, or class member in any purported class, collective, consolidated, or representative proceeding, except where such waiver is prohibited by law.
The arbitrator shall not consolidate claims of multiple persons or preside over a class or representative proceeding without the parties' express written agreement.
If a court determines that a particular claim or form of relief cannot lawfully be subjected to this waiver, that portion shall be severed and resolved in the appropriate forum, while the remaining arbitrable claims shall proceed individually to the extent permitted by law.
21. EXPRESS WAIVER OF JURY TRIAL
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOTH PARTIES KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE THE RIGHT TO TRIAL BY JURY FOR ANY DISPUTE ARISING FROM OR RELATING TO THIS AGREEMENT THAT IS PERMITTED TO PROCEED IN COURT.
This waiver is intended to apply independently of the arbitration provision to the extent legally enforceable.
22. GOVERNING LAW AND COURT VENUE
This Agreement shall be governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except where federal law or other mandatory law controls.
For disputes properly proceeding in court rather than arbitration, the parties consent to the exclusive jurisdiction of the appropriate state courts located in Broward County, Florida, or the United States District Court for the Southern District of Florida, where subject-matter jurisdiction and applicable venue requirements permit.
Nothing in this section overrides mandatory venue or jurisdictional protections.
23. EQUITABLE RELIEF
Ambassador acknowledges that unauthorized use of intellectual property, disclosure of confidential information, or dissemination of unlawful promotional content may cause irreparable harm.
Company may seek temporary, preliminary, or permanent injunctive relief where legally available, subject to applicable evidentiary standards, arbitration requirements, and judicial discretion.
24. NO EXCLUSIVITY OR FUTURE COMMITMENT
Unless otherwise agreed in writing, Ambassador is not required to promote Company exclusively.
Company is not obligated to offer any future engagement or maintain the Program for any specified period.
No course of dealing, past gift, prior payment, or informal communication creates a guarantee of future benefits.
25. MODIFICATIONS
Company may revise Program guidelines and prospective participation terms by providing notice through the website, application portal, email, or other reasonable means.
Material changes to this Agreement shall apply prospectively following legally sufficient notice and acceptance where required.
Changes shall not retroactively eliminate accrued rights or alter an existing dispute without legally effective agreement.
26. SEVERABILITY AND ENTIRE AGREEMENT
If any provision is held invalid or unenforceable, the remaining provisions shall continue in effect to the maximum extent permitted by law, subject to the specific severability provisions governing class and representative claims.
This Agreement, together with any incorporated Program guidelines and separately executed written agreements, constitutes the parties' agreement concerning its subject matter.
A separate signed compensation or campaign agreement controls in the event of a direct conflict concerning the specific campaign.
Failure to enforce a provision does not constitute a continuing waiver.
Ambassador may not assign this Agreement without Company's prior written consent. Company may assign its rights and obligations in connection with a lawful reorganization, merger, acquisition, or transfer of its business, subject to applicable law.
27. ELECTRONIC SIGNATURES AND RECORDS
The parties agree that electronic signatures, electronic records, and electronic acceptance may have the same legal effect as physical signatures to the extent permitted by applicable law.
By affirmatively checking the acceptance box and submitting the application, Ambassador intends to electronically sign this Agreement.
Company may maintain records of the accepted Agreement version, date, time, application information, and available technical acceptance data for compliance and evidentiary purposes.
Ambassador may request a copy of the accepted Agreement.
28. ACKNOWLEDGMENT OF MATERIAL TERMS
By accepting, Ambassador expressly acknowledges:
